1. Agreement to Terms

By accessing or using the AI Trading Platform ("Platform," "Service," "we," "us," or "our"), operated by BluePeak Ventures, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and BluePeak Ventures. We reserve the right to modify these Terms at any time, and such modifications will be effective immediately upon posting.

2. Description of Service

AI Trading Platform provides automated cryptocurrency trading services using artificial intelligence and machine learning algorithms. Our Service includes:

• AI-powered trading automation with ensemble ML models
• Copy trading functionality to mirror top performers
• Risk management tools and circuit breakers
• Real-time performance monitoring and analytics
• API integration with supported cryptocurrency exchanges

The Service operates on a non-custodial basis, meaning we never hold, control, or have access to your cryptocurrency funds. All trades are executed through API connections to your exchange accounts.

3. Eligibility Requirements

To use our Service, you must:

• Be at least 18 years of age or the legal age of majority in your jurisdiction
• Have the legal capacity to enter into binding contracts
• Not be a resident of a jurisdiction where cryptocurrency trading is prohibited
• Comply with all applicable laws and regulations in your jurisdiction
• Provide accurate, complete, and current registration information
• Maintain an active account with a supported cryptocurrency exchange

4. Account Registration and Security

4.1 Account Creation

You must create an account to use the Service. You agree to provide accurate and complete information during registration and to keep this information up to date.

4.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access or security breach
• Securing your API keys and ensuring they have appropriate permissions

4.3 API Key Management

You grant us limited permission to access your exchange account via API keys solely for executing trades on your behalf. API keys must be configured with trading permissions only—never withdrawal permissions. We are not responsible for losses resulting from improperly configured API keys.

5. Fees and Payment Terms

5.1 Performance Fees

Our Service operates on a performance-based fee structure:

• 20% performance fee on profits above your high water mark
• Fees are calculated and charged monthly
• No fees are charged on losses or break-even periods
• High water mark ensures you're never charged twice on the same profits

5.2 Additional Fees

You are responsible for:

• Exchange trading fees charged by your exchange
• Network fees for cryptocurrency transactions
• Any taxes or regulatory fees applicable in your jurisdiction

6. Trading Risks and Disclaimers

6.1 No Guarantee of Profits

We make no guarantees, warranties, or representations regarding the profitability of the Service. AI predictions and trading algorithms are based on historical data and market analysis, which may not accurately predict future market conditions.

6.2 Market Volatility

Cryptocurrency markets are highly volatile and can experience rapid price movements. While our risk management systems are designed to protect capital, they cannot eliminate all risks.

6.3 Technical Risks

Trading may be interrupted by technical issues, including but not limited to exchange outages, API failures, network connectivity problems, or platform maintenance. We are not liable for losses resulting from such technical issues.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• We are not liable for any trading losses, missed opportunities, or damages resulting from use of the Service
• Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim
• We are not liable for indirect, incidental, consequential, or punitive damages
• We do not guarantee continuous, uninterrupted, or error-free operation of the Service

You acknowledge that trading decisions made by our AI algorithms are based on complex calculations and that results may vary. We are not financial advisors, and the Service does not constitute financial advice.

8. User Responsibilities and Prohibited Activities

8.1 Compliance

You agree to:

• Comply with all applicable laws and regulations
• Pay all applicable taxes on your trading activities
• Not use the Service for money laundering or illegal activities
• Maintain accurate records of your trading activities

8.2 Prohibited Activities

You may not:

• Reverse engineer, decompile, or attempt to extract source code from the Platform
• Use the Service to manipulate markets or engage in fraudulent trading
• Share your account credentials or API keys with third parties
• Interfere with or disrupt the Service or servers
• Use automated scripts to create multiple accounts or abuse the affiliate program

9. Intellectual Property

All content, features, and functionality of the Platform, including but not limited to AI algorithms, software, text, graphics, logos, and trademarks, are owned by BluePeak Ventures and protected by international copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the Service for personal trading purposes only. This license does not include any right to resell, redistribute, or create derivative works.

10. Termination

10.1 By User

You may terminate your account at any time by contacting support or through your account settings. Upon termination, all pending performance fees will be calculated and charged.

10.2 By Us

We reserve the right to suspend or terminate your account if:

• You violate these Terms
• Your account is used for fraudulent or illegal activities
• We are required to do so by law or regulatory authority
• Continuing the Service poses a risk to us or other users

10.3 Effect of Termination

Upon termination, your access to the Service will cease immediately. We will disconnect API keys and stop all trading activities. You remain responsible for all fees incurred prior to termination.

11. Indemnification

You agree to indemnify, defend, and hold harmless BluePeak Ventures, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of third parties
• Trading losses or disputes with exchanges

12. Dispute Resolution

12.1 Arbitration Agreement

Any dispute arising from these Terms or use of the Service shall be resolved through binding arbitration rather than in court, except where prohibited by law.

12.2 Class Action Waiver

You agree to resolve disputes on an individual basis and waive the right to participate in class actions or class arbitrations.

12.3 Governing Law

These Terms shall be governed by and construed in accordance with the laws of [Jurisdiction], without regard to conflict of law principles.
